1. Acceptance of Terms

By accessing or using the DeepAuth platform ("Service"), operated by DeepAuth, Inc. ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and DeepAuth, Inc. governing your use of the platform, including all features related to identity verification, content authentication, and digital attestation.

We reserve the right to update or modify these Terms at any time. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically for any updates.

2. Eligibility

You must be at least 18 years of age to use the Service. By using DeepAuth, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" shall refer to both you individually and the organization.

3. User Accounts

To access certain features of the Service, you must create an account. When creating an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other breach of security.

We reserve the right to suspend or terminate your account at any time if we reasonably believe that you have violated these Terms, provided false information during registration, or engaged in conduct that we determine to be inappropriate or harmful to the Service, other users, or third parties.

4. Identity Verification Services

DeepAuth provides identity verification and content authentication services. As part of these services, you may be asked to submit personal identification documents, biometric data, and other verification materials. By using our verification services, you consent to the collection, processing, and storage of this information as described in our Privacy Policy.

You acknowledge and agree that: (a) verification results are based on the information and documents you provide; (b) we do not guarantee the absolute accuracy of verification outcomes; (c) verification status may be revoked if information is later found to be fraudulent or inaccurate; and (d) you are solely responsible for the authenticity of all documents and information you submit.

5. Identity Verification Obligations

When undergoing identity verification through DeepAuth, you agree to: (a) provide only genuine, unaltered identification documents that belong to you; (b) not impersonate any other person or entity; (c) not use stolen, forged, or fraudulently obtained documents; (d) promptly update your information if any changes occur; and (e) cooperate with any additional verification requests we may make.

Providing false or misleading identity information is a violation of these Terms and may constitute a criminal offense under applicable law. We reserve the right to report suspected fraud or identity theft to the appropriate authorities.

6. Content Submissions

The Service allows you to submit, upload, and authenticate content ("User Content"). You retain ownership of any intellectual property rights that you hold in your User Content. By submitting User Content to DeepAuth, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, process, and store your User Content solely for the purpose of providing and improving the Service.

You represent and warrant that: (a) you own or have the necessary rights, licenses, and permissions to submit the User Content; (b) the User Content does not infringe upon the intellectual property, privacy, or other rights of any third party; and (c) the User Content does not contain any material that is unlawful, defamatory, obscene, or otherwise objectionable.

7. Intellectual Property

The Service, including its original content, features, functionality, technology, and branding (excluding User Content), is and will remain the exclusive property of DeepAuth, Inc. and its licensors. The Service is protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Our trademarks, service marks, and trade dress may not be used in connection with any product or service without the prior written consent of DeepAuth, Inc.

DeepAuth's verification technology, including its multi-layer attestation system, behavioral biometrics analysis, temporal proof of authorship methodology, and trust scoring algorithms, is proprietary technology protected by pending patent applications. See our Patent Information page for details.

8. Blockchain and Attestation Records

DeepAuth may create immutable attestation records on blockchain networks as part of its verification services. You acknowledge and agree that: (a) blockchain records are permanent and cannot be deleted or modified once created; (b) certain verification metadata may be publicly visible on the blockchain; (c) while we make best efforts to ensure accuracy, we cannot reverse or alter blockchain attestations after they are recorded; and (d) you are responsible for understanding the permanence of blockchain records before initiating verification.

9. Prohibited Uses

You agree not to use the Service to: (a) violate any applicable local, state, national, or international law or regulation; (b) submit fraudulent identity documents or impersonate another person; (c) upload or transmit viruses, malware, or any other malicious code; (d) attempt to gain unauthorized access to the Service, other user accounts, or any computer systems or networks connected to the Service; (e) engage in any activity that interferes with or disrupts the Service or the servers and networks connected to it; (f) use automated means, including bots, crawlers, or scrapers, to access the Service without our express written permission; (g) use the Service for any fraudulent, misleading, or deceptive purpose; (h) harvest or collect personal information of other users without their consent; (i) reverse-engineer, decompile, or disassemble any portion of the Service; or (j) circumvent, disable, or otherwise interfere with any security-related features of the Service.

10. Subscription Plans and Payments

Certain features of the Service require a paid subscription. By selecting a paid plan, you agree to pay the applicable fees as described on our pricing page. All fees are quoted in U.S. dollars and are non-refundable except as expressly stated in these Terms or as required by applicable law.

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. We reserve the right to change our pricing at any time, but any price changes will not affect your current billing period. Payment processing is handled by Stripe, Inc., and by providing payment information, you agree to Stripe's terms and conditions.

11. Third-Party Services

The Service may integrate with or contain links to third-party services, including but not limited to Stripe Identity for document verification, Cloudinary for media processing, and various blockchain networks. These third-party services have their own terms of service and privacy policies. We are not responsible for the content, privacy practices, or operations of these third-party services. Your interactions with these third-party services are governed solely by their respective terms and policies.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. DEEPAUTH DOES NOT WARRANT THAT: (A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DEEPAUTH, INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR (E) ANY ERRORS OR INACCURACIES IN IDENTITY VERIFICATION RESULTS. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

14. Indemnification

You agree to defend, indemnify, and hold harmless DeepAuth, Inc. and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Service; (c) your User Content; (d) any fraudulent or misleading identity information you provide; (e) your violation of any rights of a third party; or (f) any claim that your User Content caused damage to a third party.

15. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so by contacting us or using the account deletion feature in your settings.

Upon termination: (a) all licenses and rights granted to you under these Terms will immediately cease; (b) you must cease all use of the Service; (c) we may delete your account data, subject to our data retention obligations under applicable law and our Privacy Policy; and (d) blockchain attestation records that have already been created will remain on the blockchain as they are immutable.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in the State of Delaware, and you hereby consent to the personal jurisdiction and venue of such courts.

17. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the State of Delaware by a single arbitrator.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial.

18. Severability

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision shall be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent permitted by law, and the remaining provisions of these Terms shall continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and DeepAuth, Inc. regarding your use of the Service. These Terms supersede any prior agreements, communications, or understandings, whether written or oral, relating to the subject matter hereof.

20. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by posting the amended Terms on the Service and updating the "Last updated" date at the top of this page. We may also provide notice through email or an in-app notification. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.
